Terms of Service

These Terms of Service govern your use of Jupi, and any related services provided by Jupi.

The Jupi App itself, and all the trademarks, copyright, database rights and other intellectual property rights related to it, belong to Bots and Bolts Inc. (Bots and Bolts), a company registered in the United States of America.

If you also use Jupi Novels, separate Jupi Novels Terms of Use apply.

The following definitions shall have the same meaning regardless of whether they appear in singular or in the plural.

Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Jupi or Bots and Bolts Inc..
Content refers to content such as text, images, or other information that can be posted, uploaded, linked to, or otherwise made available by You, regardless of the form of that content.
Service refers to the Jupi application or website you are using on your mobile device or computer.
You mean the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

When you use Jupi, you agree to abide by these Terms of Service and to comply with all applicable laws and regulations. If you do not agree with these Terms of Service, you are prohibited from further using the app, accessing our website, or using any other services provided by Jupi.

Your use of our Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you also agree to our Privacy Policy, which is incorporated into these Terms by reference.

If you access the Jupi web app at www.jupi.chat or download Jupi app from Apple App Store you agree to any Usage Rules set forth in the App Store Terms of Service.

We, Jupi, reserve the right to review and amend any of these Terms of Service at our sole discretion. Any changes to these Terms of Service will take effect immediately from the date of publication.

These Terms of Service were last updated on March 3rd, 2026.

Acknowledgment

You must be at least 18 years old to use the Service. We do not permit use by minors, even with parental consent. By using Jupi, you confirm that you are at least 18 years of age.

The chatbots utilized in Jupi are artificial intelligence programs designed to simulate conversation. The responses and statements made by these chatbots are generated artificially using various AI models and do not reflect the real-life thoughts, feelings, opinions, or intentions of any actual person or entity. You should not interpret or rely upon the chatbot responses as factual, accurate, or meaningful in any personal, legal, or emotional context. The purpose of the chatbot interactions is purely for entertainment and engagement. You are solely responsible for your own interactions, decisions, and actions resulting from the use of our services.

AI Generated Content & User Responsibility

Some of the chatbots and AI models in Jupi are designed to allow a wide range of creative expression, and mature storytelling. We apply safety filters—such as OpenAI's moderation tools—to detect and block content involving self-harm, illicit activity, or violence. These filters help us maintain a safer experience, though no filtering system is perfect.

Ultimately, you are responsible for how you use this app. Generating or publishing content through Jupi is the same as generating or publishing it yourself. You are solely responsible for any content you create, generate, or distribute using the Service.

Mental Health & Crisis Disclaimer

Jupi is not a substitute for professional mental health care, medical advice, or crisis support. The AI characters in this app are for entertainment purposes only and are not qualified to provide therapy, counseling, medical diagnoses, or emergency assistance. Do not rely on AI-generated responses for any health-related decisions.

If our systems detect indicators of self-harm intent or crisis situations, we may take protective actions including but not limited to: interrupting or refusing to continue the conversation, displaying crisis resources, and restricting or terminating your account. These measures are implemented to prioritize user safety.

Third-Party AI Technologies

Jupi incorporates Artificial Intelligence (AI) technologies provided by third-party providers, including but not limited to OpenRouter, TogetherAI, and DeepInfra. These services power the AI characters and chatbots within the app and are governed by their own terms and policies.

Safety Measures: We implement safety filters and content moderation systems to reduce harmful outputs. However, due to the inherent unpredictability of AI systems, we cannot guarantee that all outputs will be accurate, appropriate, or safe. No filtering system is perfect.

No Reliance on Outputs: AI-generated content is for entertainment purposes only. You must not rely on AI outputs as professional, legal, medical, financial, or any other form of advice. You are responsible for evaluating and verifying any information before acting on it.

Third-Party Services: We are not responsible for the availability, accuracy, or policies of third-party AI providers. These providers may change their services, terms, or capabilities at any time without notice to us.

By using our AI features, you acknowledge that:

AI outputs may be unpredictable, inaccurate, or inappropriate despite our safety measures
You will not use AI-generated content for any unlawful purpose
You are responsible for how you use and share AI-generated content
You will comply with all applicable laws regarding content you create or distribute

Indemnification

You agree to indemnify, defend, and hold harmless Bots and Bolts Inc., its officers, directors, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) your use of the Service; (ii) content you create or generate; (iii) your violation of these Terms; or (iv) your violation of any third-party rights or applicable laws.

Cooperation with Authorities

We reserve the right to cooperate with law enforcement agencies and comply with valid legal requests for information regarding illegal activity on our platform.

Limitations of Use

By using the Jupi app and our website, you warrant on behalf of yourself, any entity who you represent who has entered into these Terms of Service, that you will not:

You agree you will not use, or allow others to use, Jupi to violate the law or others' rights, including to:

Engage in, promote, generate, contribute to, encourage, plan, incite, or further illegal or unlawful activity or content, such as:
1. Violence or terrorism
2. Exploitation or harm to children, including the solicitation, creation, acquisition, or dissemination of child exploitative content or failure to report Child Sexual Abuse Material
3. Human trafficking, exploitation, and sexual violence
4. The illegal distribution of information or materials to minors, including obscene materials, or failure to employ legally required age-gating in connection with such information or materials, sexual solicitation, or any other criminal activity
Engage in, promote, incite, or facilitate the harassment, abuse, threatening, or bullying of individuals or groups of individuals
Engage in, promote, incite, or facilitate discrimination or other unlawful or harmful conduct in the provision of employment, employment benefits, credit, housing, other economic benefits, or other essential goods and services
Engage in the unauthorized or unlicensed practice of any profession including, but not limited to, financial, legal, medical/health, or related professional practices
Collect, process, disclose, generate, or infer health, demographic, or other sensitive personal or private information about individuals without rights and consents required by applicable laws
Engage in or facilitate any action or generate any content that infringes, misappropriates, or otherwise violates any third-party rights, including the outputs or results of any products or services using the Jupi Materials
Create, generate, or facilitate the creation of malicious code, malware, computer viruses or do anything else that could disable, overburden, interfere with or impair the proper working, integrity, operation or appearance of a website or computer system
Engage in, promote, incite, facilitate, or assist in the planning or development of activities that present a risk of death or bodily harm to individuals, related to the following:
1. Military, warfare, nuclear industries or applications, espionage, use for materials or activities
2. Guns and illegal weapons (including weapon development)
3. Illegal drugs and regulated/controlled substances
4. Operation of critical infrastructure, transportation technologies, or heavy machinery
5. Self-harm or harm to others, including suicide, cutting, and eating disorders
6. Any content intended to incite or promote violence, abuse, or any infliction of bodily harm to an individual
Intentionally deceive or mislead others, including use of Jupi related to the following:
1. Generating, promoting, or furthering fraud or the creation or promotion of disinformation
2. Generating, promoting, or furthering defamatory content, including the creation of defamatory statements, images, or other content
3. Generating, promoting, or further distributing spam
4. Impersonating another individual without consent, authorization, or legal right
5. Representing that the use of Jupi or outputs are human-generated
6. Generating or facilitating false online engagement, including fake reviews and other means of fake online engagement
Modify, copy, prepare derivative works of, decompile, or reverse engineer Jupi or any materials and software contained within Jupi
Remove any copyright or other proprietary notations from Jupi or any materials and software contained within Jupi
Transfer Jupi or any of its associated materials to another person or "mirror" the materials on any other server
Knowingly or negligently use Jupi or any of its associated services in a way that abuses or disrupts our networks or any other service Jupi provides
Use Jupi or its associated services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material
Use Jupi or its associated services in violation of any applicable laws or regulations
Use Jupi to send unauthorized advertising or spam
Harvest, collect, or gather user data without the user's consent
Use Jupi or its associated services in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties

Content, User Data and User Inputs

Our Service allows you to post content (messages, text or images) and trigger the AI to generate extra content. You are responsible for the content you post to the service (to the Jupi app), including its legality, reliability, and appropriateness.

By posting content to the Service, you grant Us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service. You retain any and all of Your rights to any Content You submit, post or display on or through the Service and You are responsible for protecting those rights. You agree that this license includes the right for Us to make Your Content available to other users of the Service, who may also use Your Content subject to these Terms.

You may also create artificial intelligence (AI) characters ("AI Characters") and share them on the Service to be displayed publicly. By creating and posting AI Characters, you agree to the following terms. You understand that by posting AI Characters to the Service, these characters may be publicly displayed and may interact with other users or AI Characters. You consent to the public display and interaction of your AI Characters within the Service. You acknowledge and agree that you are solely responsible for the AI Characters you create and post on the Service. This includes but is not limited to the creation process, the behaviors, actions, and content associated with the AI Characters, and any interactions they may have with other users or AI Characters within the Service. You are solely responsible for ensuring that your AI Characters and any content associated with them comply with these Terms of Service and do not violate any applicable laws or regulations. AI Characters must not generate or be involved in any content or behavior that is unlawful, offensive, threatening, libelous, defamatory, obscene, or otherwise objectionable as outlined in the "Content Restrictions" section of these Terms of Service.

You represent and warrant that: (i) the Content is Yours (You own it) or you have the right to use it and grant us the rights and license as provided in these terms, and (ii) the posting of your content on or through the service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.

Content Restrictions

Jupi is not responsible for the content of the service's users. You expressly understand and agree that you are solely responsible for the content and for all activity that occurs under your account, whether done so by you or any third person using your account.

You may not transmit any content that is unlawful, offensive, upsetting, intended to disgust, threatening, libelous, defamatory, obscene or otherwise objectionable. Examples of such objectionable content include, but are not limited to, the following:

Unlawful or promoting unlawful activity.
Defamatory, discriminatory, or mean-spirited content, including references or commentary about religion, race, sexual orientation, gender, national/ethnic origin, or other targeted groups.
Spam, machine – or randomly – generated, constituting unauthorized or unsolicited advertising, chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling.
Containing or installing any viruses, worms, malware, trojan horses, or other content that is designed or intended to disrupt, damage, or limit the functioning of any software, hardware or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of a third person.
Infringing on any proprietary rights of any party, including patent, trademark, trade secret, copyright, right of publicity or other rights.
Impersonating any person or entity including the developer and its employees or representatives.
Violating the privacy of any third person.
False information and features.

Jupi reserves the right, but not the obligation, to, in its sole discretion, determine whether or not any Content is appropriate and complies with this Terms, refuse or remove this Content. Jupi further reserves the right to make formatting and edits and change the manner any Content. Jupi can also limit or revoke the use of the Service if You post such objectionable Content. As Jupi cannot control all content posted by users and/or third parties on the Service, you agree to use the Service at your own risk. You understand that by using the Service You may be exposed to content that You may find offensive, indecent, incorrect or objectionable, and You agree that under no circumstances will Jupi be liable in any way for any content, including any errors or omissions in any content, or any loss or damage of any kind incurred as a result of your use of any content.

Intellectual Property

The intellectual property in the materials in the app are owned by or licensed to Jupi. You may download Jupi, to view, use, and display the application on your mobile device for your personal use only.

This constitutes the grant of a license, not a transfer of title. This license shall automatically terminate if you violate any of these restrictions or these Terms of Service, and may be terminated by Jupi at any time.

1. Service content, software, and trademarks

You acknowledge and agree that the Services may contain content or features ("Service Content") that are protected by copyright, patent, trademark, trade secret, or other proprietary rights and laws. Except as expressly authorized by Jupi, you agree not to modify, copy, frame, scrape, rent, lease, loan, sell, distribute, or create derivative works based on the Services or the Service Content, in whole or in part, except that the foregoing does not apply to your own User Content (as defined below) that you legally upload to the Services.

In connection with your use of the Services, you will not engage in or use any data mining, robots, scraping or similar data gathering or extraction methods. If you are blocked by Jupi from accessing the Services (including by blocking your IP address), you agree not to implement any measures to circumvent such blocking (e. g., by masking your IP address or using a proxy IP address). Any use of the Services or the Service Content other than as specifically authorized herein is strictly prohibited. The technology and software underlying the Services or distributed in connection therewith are the property of Jupi, our affiliates and our partners (the "Software"). You agree not to copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, or otherwise transfer any right in the Software. Any rights not expressly granted herein are reserved by Jupi.

2. Third party material

Under no circumstances will Jupi be liable in any way for any content or materials of any third parties (including users), including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of such content. You acknowledge that Jupi does not pre-screen content, but Jupi and its designees will have the right (but not the obligation) in their sole discretion to refuse or remove any content that is available via the Services. Without limiting the foregoing, Jupi and its designees will have the right to remove any content that violates these Terms of Service or is deemed by Jupi, in its sole discretion, to be objectionable. You agree that you must evaluate and bear all risks associated with the use of any content, including any reliance on the accuracy, completeness, or usefulness of such content. Jupi respects the intellectual property of others and we ask our users to do the same. We hold the sole discretion to remove any content that may infringe upon the copyrights of third parties. Users must ensure that any content they upload, share, or create using Jupi does not violate any third-party intellectual property rights.

3. User content transmitted through the Services

3.1. Ownership and Warranties

Any text, images, videos, data, or other materials that you create, upload, or generate using Jupi Services shall collectively be referred to as "User-Generated Content." You retain complete ownership of all User-Generated Content that you produce through Jupi Services, including intellectual property rights and other proprietary rights. To the extent you create derivative works, you own all rights in those derivative works as permissible under applicable law.

With respect to the content or other materials you upload through the Services or share with other users or recipients (collectively, "User Content"), you represent and warrant that you own all rights, title, and interest in and to such User Content, including, without limitation, all copyrights and rights of publicity contained therein.

By uploading any User Content, you hereby grant and will grant Jupi and its affiliated companies a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable, perpetual, irrevocable license to copy, display, upload, perform, distribute, store, modify, and otherwise use your User Content in connection with the operation of the Services or the promotion, advertising, or marketing thereof in any form, medium, or technology now known or later developed.

Public Content: When you make any content publicly available on the Service — including AI Characters, images, descriptions, and associated metadata — you grant Jupi an irrevocable, perpetual right to host, display, distribute, and sublicense that content as part of the Service, even after your account is deleted. Public content becomes part of the Jupi platform and may continue to be used, displayed, and made available to other users indefinitely. You waive any right to require removal of public content upon account deletion.

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information about the Services ("Submissions"), provided by you to Jupi, are non-confidential and Jupi will be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you. You acknowledge and agree that Jupi may preserve content and may also disclose content if required to do so by law or in the good faith belief.

You further acknowledge that you, and not Jupi, are entirely responsible for all User Content that you upload, post, e-mail, transmit or otherwise make available through Jupi's Services, and that you and other Registered Users of Jupi, and not Jupi, are similarly responsible for all Content that you and they make available through Jupi's Services.

For avoidance of doubt, violations of Jupi's Terms of Service unrelated to intellectual property issues does not affect the user's intellectual property rights in any characters or their generations.

3.2. Similarity of Content

Due to the machine learning algorithms used by Jupi's service providers, the output generated by the Services may resemble outputs for other users. Such outputs are not considered your exclusive content.

Accuracy of Output: The Services are based on rapidly evolving fields of AI and machine learning. You acknowledge that our outputs may contain inaccuracies or errors. You are responsible for evaluating the accuracy of outputs for your use case.

3.3. AI Training and User Data

Third-Party AI Services: Jupi utilizes Artificial Intelligence (AI) technologies powered by third-party service providers. These technologies are used to enhance various features within the app, such as AI characters and chatbots.

Data Handling by Third Parties: While Jupi facilitates the interaction between users and these AI technologies, Bots and Bolts Inc. does not control, influence, or oversee the training methods, data usage, or algorithms of these third-party services. The data you provide may be processed by these third-party providers as part of their operational procedures, which are governed by their own terms and policies.

User Responsibility: Users are encouraged to review the terms and policies of our third-party AI providers to understand how their data may be used and how these services operate. It is important to recognize that these providers may use your inputs in ways that Jupi does not govern or dictate.

Jupi does not use user data to train AI models or enhance AI algorithms internally. Any interaction that leads to data processing is handled by our third-party providers under their own regulatory and privacy frameworks. Some of these third-party providers may use your data to train their AI models, but we do not have control over this and cannot be held responsible for their actions.

Transparency and Compliance: Jupi commits to transparency in our use of third-party AI technologies and ensures compliance with applicable legal standards regarding data privacy and user rights. However, Bots and Bolts Inc. is not responsible for the data handling practices of third-party AI services.

4. Copyright complaints

Jupi respects the intellectual property rights of others and takes copyright infringement very seriously. We encourage not only copyright owners but also agents and legal representatives to report alleged infringements involving content available through our services.

To submit a copyright infringement notice, please use our dedicated infringement reporting form available on our website. Alternatively, you can send a detailed notice to our Copyright Agent containing the following information:

Contact Information: Your full name, address, telephone number, and email address.
Authorization: If you are an agent or representative, a statement describing your authority to act on behalf of the copyright owner.
Copyrighted Work Description: A clear description of the copyrighted work you claim has been infringed.
Location of the Infringing Material: A precise URL or detailed description of where the alleged infringing content is located on Jupi.
Good Faith Statement: A statement made under penalty of perjury that the information provided in your notice is accurate and that you are authorized to act on behalf of the copyright owner.
Physical or Electronic Signature: A physical or electronic signature of the copyright owner or a person authorized to act on their behalf.

Email for direct submissions: jupi@jupi.chat with the subject line "DMCA Takedown Request". Upon receiving a formal infringement notice, whether through our form or via email, Jupi will promptly investigate and take appropriate actions, including the removal of the offending content and termination of user accounts where necessary.

5. Intellectual Property Rights in AI-Generated Content

Ownership of AI Outputs: The content and outputs generated by AI within Jupi, including texts, images, and any other forms of data, are the result of computational processes initiated by user inputs. These outputs are not authored by a human and therefore do not qualify as copyrighted material under current copyright laws.

Human Contributions: Where there is substantial human creative input or modification involved in shaping the final content, such content may qualify for copyright protection. In such cases, the copyright of this content rests with the individual who has added substantial creative input.

Non-Human Authorship: Consistent with the U.S. Copyright Office regulations and the prevailing judicial perspective exemplified by cases such as Thaler v. Perlmutter, Jupi acknowledges that AI cannot be deemed an "author" under copyright law. Therefore, outputs generated solely by our AI, without substantial human editing or intervention, are not protected by copyright as they lack human authorship.

User Responsibilities and Acknowledgement: By using Jupi, you acknowledge that the AI-generated content may not necessarily reflect your views, the views of Jupi, or any associated entities. Users are responsible for any content they generate using Jupi and must ensure that this content complies with all applicable laws and these Terms of Service. Users must not claim misleading or false ownership of AI-generated content that lacks substantial human authorship.

Licensing and Usage: Users are granted a limited, revocable, non-exclusive license to use AI-generated content from Jupi for personal, non-commercial use. For any other uses, users must obtain permission from Jupi and, if applicable, from the rightful copyright holders of any pre-existing protected elements that may be included in the AI-generated content.

Automatic Updates

You give us permission to download and install updates to Jupi on your device in accordance with your privacy preferences. This permission can be revoked at any time by deleting Jupi from your device.

Liability

UNDER NO CIRCUMSTANCES SHALL BOTS AND BOLTS INC., ITS FOUNDERS, PUBLISHERS, DEVELOPERS, OFFICERS, DIRECTORS, EMPLOYEES, PARENTS, PARTNERS, SUCCESSORS, AGENTS, DISTRIBUTION PARTNERS, AFFILIATES, SUBSIDIARIES, OR THEIR RELATED COMPANIES BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF, RELATING TO, OR IN ANY WAY CONNECTED WITH OUR SERVICES OR THESE TERMS OF SERVICE. YOUR SOLE REMEDY FOR DISSATISFACTION WITH OUR SERVICES INCLUDING, WITHOUT LIMITATION, SERVICE CONTENT IS TO STOP USING OUR SERVICES. SUCH LIMITATION SHALL ALSO APPLY WITH RESPECT TO DAMAGES INCURRED BY REASON OF GOODS RECEIVED THROUGH OR ADVERTISED IN CONNECTION WITH OUR SERVICES OR ANY LINKS PLACED IN OUR SERVICES, AS WELL AS BY REASON OF ANY INFORMATION OR ADVICE RECEIVED THROUGH OR ADVERTISED IN CONNECTION WITH OUR SERVICES OR ANY LINKS PLACED IN OUR SERVICES. SUCH LIMITATION SHALL ALSO APPLY WITH RESPECT TO DAMAGES INCURRED BY REASON OF ANY CONTENT POSTED BY A THIRD PARTY OR CONDUCT OF A THIRD PARTY USING OUR SERVICES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, IN NO EVENT SHALL THE CUMULATIVE LIABILITY OF BOTS AND BOLTS INC., ITS FOUNDERS, PUBLISHERS, DEVELOPERS, OFFICERS, DIRECTORS, EMPLOYEES, PARENTS, PARTNERS, SUCCESSORS, AGENTS, DISTRIBUTION PARTNERS, AFFILIATES, SUBSIDIARIES, AND THEIR RELATED COMPANIES EXCEED THE LESSER OF THE TOTAL PAYMENTS RECEIVED FROM YOU BY JUPI DURING THE PRECEDING TWELVE (12) MONTH PERIOD OR $100. FURTHERMORE, YOU AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF, RELATING TO, OR IN ANY WAY CONNECTED WITH ANY OF OUR SERVICES OR THESE TERMS OF SERVICE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION SHALL BE PERMANENTLY BARRED.

Jupi and the materials in Jupi are provided on an 'as is' basis. To the extent permitted by law, Jupi makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property, or other violation of rights.

In no event shall Jupi or its suppliers be liable for any consequential loss suffered or incurred by you or any third party arising from the use or inability to use Jupi, or any other services provided by Jupi or the materials in Jupi, even if Jupi or an authorized representative has been notified, orally or in writing, of the possibility of such damage.

In the context of this agreement, "consequential loss" includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity, or otherwise.

Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

Security and Data Protection

We take reasonable steps to protect user data, but we cannot guarantee complete security. In the event of a security breach or exposure of credentials (such as API keys), we will take prompt action to mitigate risks. Users acknowledge that they are responsible for protecting their access credentials and that we are not liable for damages caused by unauthorized access resulting from exposed keys or credentials.

The materials appearing in Jupi are not comprehensive and are for general information purposes only. To the extent permitted by law, Jupi does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials in Jupi, or otherwise relating to such materials or on any resources linked to Jupi.

Jupi has not reviewed all of the sites linked to Jupi or on its corresponding website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement, approval, or control by Jupi of the site. Use of any such linked website is at your own risk and we strongly advise you make your own investigations with respect to the suitability of those sites.

Notice regarding Apple

To the extent that you are using or accessing Jupi on an iOS device, you acknowledge and agree to the terms of this clause. You acknowledge that these Terms of Service are between you and Jupi only, not with Apple Inc. (Apple), and Apple is not responsible for Jupi and any materials available in Jupi.

Apple has no obligation to furnish you with any maintenance and support services with respect to Jupi.

If Jupi fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price of the mobile application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to Jupi and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be our responsibility.

Apple is not responsible for addressing any claims by you or any third party relating to Jupi or your use of Jupi, including but not limited to (1) product liability claims; (2) any claim that our mobile application fails to conform to any applicable legal or regulatory requirement; and (3) claims arising under consumer protection or similar legislation.

Apple is not responsible for the investigation, defence, settlement, and discharge of any third-party claim that our mobile application infringes that third party's intellectual property rights.

You agree to comply with any applicable third-party terms when using Jupi, including any Usage Rules set forth in the Apple App Store Agreement of Service.

Apple and Apple's subsidiaries are third-party beneficiaries of these Terms of Service, and upon your acceptance of these Terms of Service, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms of Service against you as a third-party beneficiary of these Terms of Service.

You hereby represent and warrant that (1) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (2) you are not listed on any U.S. Government list of prohibited or restricted parties.

Right to Terminate

We reserve the right in our sole discretion and at any time to terminate or suspend your Membership and/or block your use of our Services for any reason including, without limitation if you have failed to comply with the letter and spirit of these Terms of Service. You agree that Jupi and its developers are not liable to you or any third party for any termination or suspension of your Membership or for blocking your use of our Services.

Any suspension or termination shall not affect your obligations to us under these Terms of Service. The provisions of these Terms of Service which by their nature should survive the suspension or termination of your Membership or these Terms of Service shall survive including, but not limited to the rights and licenses that you have granted hereunder, indemnities, releases, disclaimers, limitations on liability, provisions related to choice of law.

Account Deletion

You may request deletion of your account at any time through the account settings in the app or by contacting us at jupi@jupi.chat. Upon receiving your deletion request, we will process it within 72 hours.

When your account is deleted:

Your profile information and account credentials will be permanently deleted from our servers
Any public AI Characters and content you created are considered part of the Jupi platform and will remain available on the Service, attributed to an anonymous "Deleted User" account. Public content is not subject to deletion requests. Private AI Characters and content will be permanently removed. By making content public on Jupi, you irrevocably grant Jupi the right to continue hosting and displaying that content as described in Section 3.1

Chat History: Your chat histories and conversation data are stored locally on your device, not on our servers. To delete your chat history, you must manually clear your browser cache (for web users) or delete the app from your device (for mobile users). Account deletion does not automatically remove locally stored data.

Subscriptions and Payments: Account deletion does not automatically cancel any active subscriptions. Subscriptions are managed through Apple App Store or Stripe, depending on how you subscribed. To cancel your subscription, you must do so directly through:

Apple App Store: Go to Settings → Apple ID → Subscriptions on your iOS device
Stripe (Web): Manage your subscription through your account settings or contact us at jupi@jupi.chat

Credits and Virtual Currency: Any purchased credits or virtual currency are tied to your payment provider (Apple or Stripe). Account deletion will result in loss of access to any remaining credits. No refunds will be provided for unused credits. For billing inquiries, please contact the respective payment provider or reach out to us at jupi@jupi.chat.

Please note that we may retain certain information as required by law, for legitimate business purposes, or to protect our legal rights. For more details on data retention, please refer to our Privacy Policy.

Severance

Any term of these Terms of Service which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms of Service is not affected.

Translation Interpretation

These Terms of Service may have been translated if We have made them available to You on our Service. You agree that the original English text shall prevail in the case of a dispute.

Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service (including any features, content, or functionality) at any time, with or without notice. We may also impose limits on certain features or restrict your access to parts or all of the Service without notice or liability.

You agree that Bots and Bolts Inc. shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service or any part thereof. We are not obligated to provide any specific features or functionality, and we may change, remove, or add features at our sole discretion.

Changes to These Terms of Service

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion. By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the website and the Service.

Dispute Resolution & Arbitration

Governing Law: These Terms of Service are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in Delaware, United States, before a single arbitrator. Judgment on the arbitration award may be entered in any court having jurisdiction.

Small Claims Exception: Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

Opt-Out Right: You may opt out of this arbitration agreement by sending written notice of your decision to opt out to jupi@jupi.chat within 30 days of first accepting these Terms. Your notice must include your name, mailing address, and a clear statement that you wish to opt out of this arbitration agreement. If you opt out, you will still be bound by all other provisions of these Terms.

CLASS ACTION WAIVER: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND BOTS AND BOLTS INC. AGREE THAT ANY ARBITRATION OR COURT PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION, TO JOIN CLAIMS WITH THOSE OF ANY OTHER PERSON, OR TO ASSERT A CLAIM IN A REPRESENTATIVE CAPACITY ON BEHALF OF ANYONE ELSE.

JURY TRIAL WAIVER: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND BOTS AND BOLTS INC. WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

Severability of Dispute Resolution Terms: If any part of this Dispute Resolution section is found to be unenforceable, the remainder shall continue to apply. If the class action waiver is found unenforceable as to a particular claim, that claim shall be severed and proceed in court while remaining claims proceed in arbitration.

Additional Terms for European Union Users

If you are a consumer residing in the European Union, European Economic Area, or the United Kingdom ("EU User"), the following additional terms apply to you and shall take precedence over any conflicting provisions in these Terms:

Consumer Rights: Nothing in these Terms shall affect your statutory rights as a consumer under applicable EU consumer protection laws, including Directive 2011/83/EU on consumer rights and local implementing legislation. These rights cannot be waived or limited by contract.

Jurisdiction: The arbitration agreement and class action waiver set forth above shall not apply to EU Users to the extent prohibited by applicable law. As an EU User, you may bring legal proceedings against us in the courts of your country of residence. We may only bring legal proceedings against you in the courts of your country of residence.

Applicable Law: While these Terms are governed by Delaware law, if you are an EU User, you will also benefit from any mandatory provisions of the law of the country in which you reside. Nothing in these Terms affects your rights as an EU consumer to rely on such mandatory provisions.

Alternative Dispute Resolution: The European Commission provides an Online Dispute Resolution (ODR) platform for EU consumers, which you can access at https://ec.europa.eu/consumers/odr. We are not obligated to participate in dispute resolution proceedings before a consumer arbitration board, but we may choose to do so on a case-by-case basis.

Data Protection: Your personal data is processed in accordance with the General Data Protection Regulation (GDPR) and our Privacy Policy. You have rights under GDPR including the right to access, rectify, erase, restrict processing of, and port your personal data, as well as the right to lodge a complaint with your local data protection supervisory authority.

Digital Services Act Compliance: In accordance with the EU Digital Services Act (Regulation 2022/2065), we provide mechanisms for users to report illegal content. You may report content by contacting us at jupi@jupi.chat. We will review reports and take appropriate action in accordance with our obligations under the DSA.

Age Verification (EU): If you are located in the EU, you confirm that you are at least 18 years old. We do not knowingly provide services to individuals under 18 in the EU. If we become aware that a user is under 18, we will terminate their account.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and Bots and Bolts Inc. concerning your use of the Service. These Terms supersede any prior agreements, communications, or understandings between you and us regarding the subject matter hereof.

No Waiver

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Bots and Bolts Inc.. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

Force Majeure

Bots and Bolts Inc. shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, strikes, power outages, internet or telecommunications failures, cyberattacks, or actions of third-party service providers.
